No permits will be finaled until the Broadway Project Improvement Agreement (Improvement Agreement) has been executed and bonds covering all improvements and permits for the subject property have been submitted to the City in a form acceptable to the City Manager and City Attorney. Said Improvement Agreement, incorporated herein by this reference, will provide that: (i) all contracts and work product relating to the project (from the beginning of the project onward) of Firm Foundation, Cannon Construction, Factory OS, all design professionals, engineers, and subcontractors are assignable to the COV; (ii) COV must be allowed to step into the shoes of all Firm Foundation contracts and all Cannon Construction subcontracts relating to the project within two days of written notice by COV; (iii) Firm Foundation shall indemnify COV to the fullest extent allowed by law for any claims or suits brought against COV arising from the negligent design, construction, performance, testing, planning, observation, or supervision of any work relating to the project; and (iv) insurance requirements for Professional Liability, Commercial General Liability, Workers’ Compensation, and Commercial Automobile Liability of the type and in the amounts recommended by the COV Risk Manager. All subcontracts for any of the work permitted herein are to contain a clause requiring that the subcontractor obtain performance and labor and materials bonds in the amount of 100% of the subcontract amount naming the City and Firm Foundation as beneficiaries of said bonds.
